VibeCop Terms of Service

These Terms of Service ("Terms") govern access to and use of VibeCop — the AI-native code review service available at vibecop.maiife.ai, via the VibeCop CLI, and via the VibeCop API — operated by Maiife Private Limited, No. 29, Thatha Muthiappan Street, Sowcarpet, Chennai – 600001, Tamil Nadu, India ("Maiife", "we", "us").
By creating an account or using VibeCop, you agree to these Terms on behalf of yourself and, if you use VibeCop for an organization, on behalf of that organization ("Customer"). If you do not have authority to bind your organization, do not use the service.
1. The service
VibeCop analyzes source code repositories that Customer connects, using static analysis and third-party large language models, and produces review findings, architecture metrics (including the Architecture Integrity Index), a code structure graph, and conversational answers about the codebase. Depending on plan and configuration, VibeCop can run scans on demand, on pull request events via webhooks, on a nightly schedule, or from the VibeCop CLI, and can post results back to Customer's pull requests.
VibeCop is under active development. Features may be added, changed, or removed. Features marked beta or preview are provided as-is and may change without notice.
2. Accounts and organizations
- You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account.
- Each account belongs to an organization. Organization administrators control membership, roles, connected repositories, integrations, and billing.
- You must be at least 18 years old.
- We may suspend accounts that violate these Terms or that pose a security or abuse risk.
3. Customer code and repository access
- You keep ownership of your code. Customer retains all rights, title, and interest in the repositories, code, and other content it submits ("Customer Content").
- You grant Maiife a limited, non-exclusive license to access, copy, transmit, process, and analyze Customer Content solely to provide and secure the service, including transmitting relevant portions to the model providers listed in our Privacy Policy.
- Connecting a repository requires GitHub authorization granted by Customer (
repoandadmin:repo_hookscopes). Customer warrants that it has all rights necessary to connect each repository, including any third-party code within it. Customer can revoke access at any time via GitHub. - When writeback features are enabled, VibeCop will create branches, commits, comments, and/or pull requests in Customer's repositories. Customer authorizes these writes and is responsible for reviewing them before merging.
- Analysis derived from Customer Content (findings, code graph, metrics) is produced for Customer's use of the service. We do not use Customer Content to train AI models.
4. AI-generated output — important disclaimer
VibeCop's findings, scores, narratives, and answers are generated by automated analysis, including large language models. They may be incomplete, inaccurate, or wrong. They are not a substitute for human code review, security auditing, or professional judgment. Customer is solely responsible for evaluating findings before acting on them, including before merging any change VibeCop proposes. Maiife does not warrant that VibeCop will identify all defects, vulnerabilities, or architectural problems in any codebase, or that code that passes review is free of them.
5. Plans, credits, and billing
- Plans. Current plans, prices, credit allowances, and repository limits are published at vibecop.maiife.ai and may be updated from time to time. Price changes take effect at the next billing period.
- Credits. Usage (scans, Ask requests, and API usage) consumes credits. Monthly plan credits reset each billing period and unused monthly credits do not roll over. Purchased top-up credits do not expire and carry over across billing periods. When your balance reaches zero, credit-consuming features stop until credits renew or you top up.
- Free trial. New organizations receive a free trial with a limited credit allowance and repository limit. We may modify or discontinue trial terms at any time.
- Payment. Payments are processed by Razorpay. Subscriptions renew automatically each period until cancelled. Charges are in USD or INR as selected at checkout; taxes (including GST where applicable) are Customer's responsibility unless stated otherwise.
- Plan changes. Switching plans takes effect immediately: your current plan is cancelled and the new plan begins and is billed at once. We do not prorate — unused time or credits on your prior plan are not refunded or carried over.
- Cancellation. You may cancel at any time. Your plan remains active until the end of the current paid period, after which it will not renew.
- Failed payments. If a renewal charge fails, we may suspend paid features until payment is resolved.
- Refunds. Subscription fees are refundable if you request a refund within 14 days of the charge. Credit purchases (top-ups) are non-refundable. Except as stated here or where required by law, fees are non-refundable.
6. Acceptable use
You must not:
- Connect repositories you do not have rights to analyze
- Use VibeCop to develop malware or to identify vulnerabilities in systems you are not authorized to test
- Attempt to probe, breach, or circumvent VibeCop's security, rate limits, or plan/credit gating
- Resell, sublicense, or provide VibeCop to third parties as a service without our written agreement
- Use the service to build a competing product, or scrape/extract the service's outputs at scale for that purpose
- Interfere with the service's operation or other customers' use of it
- Violate applicable law
7. Third-party services
VibeCop interoperates with third-party services — GitHub, Razorpay, and optional integrations (Slack, Linear, Jira) — under those providers' own terms. Maiife is not responsible for third-party services. If Customer connects an integration, Customer authorizes the data exchange described in the Privacy Policy.
8. Intellectual property
The service — software, models of operation, design, documentation, and trademarks (including "VibeCop" and "Maiife") — is owned by Maiife or its licensors. These Terms grant no rights except the limited right to use the service. Feedback you provide may be used by Maiife without obligation.
9. Confidentiality
We treat Customer Content and non-public data about Customer's use of the service as confidential, and use and disclose it only as described in these Terms and the Privacy Policy, or as required by law.
10. Privacy
Our collection and use of personal data is described in the VibeCop Privacy Policy. The Privacy Policy is incorporated into these Terms.
11. Warranties and disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAIIFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE. NO SERVICE-LEVEL COMMITMENT APPLIES UNLESS SEPARATELY AGREED IN WRITING (ENTERPRISE PLANS).
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (b) MAIIFE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR USD 100 IF CUSTOMER HAS PAID NO FEES. THESE LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, EITHER PARTY'S CONFIDENTIALITY BREACHES, OR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnity
Customer will defend and indemnify Maiife against third-party claims arising from (a) Customer Content, including claims that Maiife's authorized processing of a connected repository infringes third-party rights; (b) Customer's violation of these Terms; or (c) Customer's violation of law.
14. Termination
- Customer may stop using the service and cancel at any time.
- We may suspend or terminate access for material breach of these Terms, non-payment, or security/abuse risk; where practical we will give notice and an opportunity to cure.
- Upon termination, Customer's access ends. Customer may request deletion or export of its data as described in the Privacy Policy (Section 6). We may retain records required for legal, tax, or security purposes.
15. Changes to these Terms
We may update these Terms. Material changes will be announced in-product or by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve any dispute within 30 days of written notice. If the dispute is not resolved, it will be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in Chennai, Tamil Nadu, India, and conducted in English. Subject to the foregoing and to any mandatory consumer protections in Customer's jurisdiction, the courts of Chennai, Tamil Nadu, India have exclusive jurisdiction over disputes arising out of these Terms.
17. General
These Terms plus the Privacy Policy (and any signed order form, which prevails on conflict) are the entire agreement. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not waiver. Customer may not assign these Terms without consent; Maiife may assign to an affiliate or in connection with a merger or sale. Notices to Customer may be given in-product or by email; notices to Maiife go to contact@maiife.ai.
